Data Processing Addendum

1. Customer is the Controller of all Customer Confidential Information. Customer wishes to appoint Heretto to process Customer Confidential Information, as further described in Appendix A attached hereto.

2.

Heretto will act in relation to such Customer Personal Data and Customer Confidential Information as the Processor on behalf of Customer and will act only in accordance with the following:
a. Heretto’s Privacy Notice located at https://heretto.com/privacy-policy/;
b. Heretto’s Terms and Conditions; and
c. Heretto-Customer Privacy & Security Agreement (attached hereto as Exhibit 1).

3.

This Data Processing Addendum shall survive until the date when any and all associated Order Form(s) expire or are earlier terminated by the written agreement between Parties.

ly likely to result in) damage to or material degradation of the Subscription Service that could interfere with Heretto’s ability to provide access to the Subscription Service to other users, or (iv) if Heretto receives an order of any court of competent jurisdiction or any regulatory, judicial, governmental or similar body, that expressly or by reasonable implication requires Heretto to suspend or terminate Customer and/or any authorized User’s access to the Subscription Service.
